The answers were vague: “We handle everything.” “We know the court.” “We have connections.”

Meanwhile, my Vietnamese-speaking assistant — a local university grad — told me: “They don’t even have a written process. They just say they’re ‘good at debt.’”

Here’s what no one tells you:

In Vietnam, a lawyer licensed by the Ministry of Justice (Bộ Tư pháp) can legally practice in any field — civil, criminal, corporate, or debt. But not all lawyers have experience with commercial debt restructuring.

I learned this the hard way.

One lawyer I consulted had spent 15 years in family law. He’d never handled a corporate payment default. He gave me advice based on “what happens when a husband doesn’t pay his wife.”

  • Document every payment delay in writing
  • Get a signed acknowledgment from the debtor
  • Avoid verbal agreements — even with “friends”
  • Start negotiations before the 90-day default window closes

Your lawyer’s job isn’t to “fight.” It’s to:

  1. Help you draft a legally valid restructuring proposal
  2. Ensure the creditor signs a waiver of criminal complaint
  3. File the agreement with the local Department of Planning and Investment (Sở Kế hoạch và Đầu tư)

This is administrative, not adversarial.

📌 四、创业者视角:别买“解决方案”,买“流程控制权”

I used to think hiring a lawyer meant handing over my problems and waiting for a miracle.

I was wrong.

Now I see it this way:

A good lawyer doesn’t solve your debt. They give you control over the process.

Here’s what I do now:

  1. I request a written workflow — not a quote.
  2. I ask for two past case summaries (anonymized).
  3. I insist on monthly progress reports — even if nothing changed.
  4. I never sign anything without a Vietnamese-English bilingual copy.

I also keep a digital log:

  • Date of each communication
  • Name of person spoken to
  • What was promised
  • What was delivered

Q1: 我没有合同,只有微信聊天记录,能起诉吗?
A1: 可能根据实际情况不同。越南法院原则上要求书面合同(Hợp đồng bằng văn bản)。但根据《民法典》第 402 条,若能证明双方存在事实合同关系(mối quan hệ hợp đồng thực tế),且有:

  • 付款记录(bank transfer receipts)
  • 书面确认函(email or signed memo)
